IR 55/038 October 25, 2012 Subject Notification for subscription of newly issued ordinary shares of JMT Network Services Public Company Limited for shareholders of Jay Mart Public Company Limited To President The Stock Exchange of Thailand Attachment Subscription procedures of capital increase shares of JMT Network Services Public Company Limited for shareholders of Jay Mart Public Company Limited JMT Network Service Public Company Limited (JMT), the subsidiary of Jay Mart Public Company Limited (the Company or JMART), had the capital increase of 75,000,000 shares for the Initial Public Offering (IPO) by allocating not exceeding 45,000,000 shares to shareholders of JMART as at October 26, 2012, which is the date of determining the list of shareholders of the Company who are entitled to subscribe for newly issued shares of JMT (Record date) and the date of compiling the names of shareholders by closing the share register book under Section 225 of the Securities and Exchange Act on October 29, 2012 for the shareholding proportion, 9.15 Common shares of JMART to 1 newly issued common share of JMT. The fraction of shares from the computation will be discarded. The Company would like to notify that the Securities and Exchange Commission (the SEC) approved the public offering of JMT's shares on October 24, 2012 and the filing and draft prospectus of JMT is effective on October 25, 2012. Therefore, JMT has specified the offering price at Baht 4.00 per share which is the same price offering to public and the subscription period for shareholders of JMART shall be during November 12-14, 2012 and subscription period for the public shall be during November 19-21, 2012. Subscription procedures of capital increase shares of JMT for shareholders of JMART are as attached. In addition, the Company has requested Thailand Securities Depository Company Limited to send subscription documents to shareholders of JMART as at October 26, 2012, which is the date of determining the list of shareholders of the Company who are entitled to subscribe for newly issued shares of JMT (Record date) via registered mail after the shareholders book closing date. In case of not receiving such documents, shareholders of JMART can obtain such documents at Securities Operating Department, Asia Plus Securities Public Company Limited, 9/F Sathorn City Tower, 175 South Sathorn Road, Thungmahamek, Sathorn, Bangkok 10120 Tel. 0-2285-1666 Fax. 0-2679-6983 during 9:00 a.m. to 4:00 p.m. of November 12 - 14, 2012.
